1. Acceptance of Terms

By accessing or using Arbinex, you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these terms, you may not use our service.

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use Arbinex.

2. Description of Service

Arbinex is an AI orchestration platform:

Arbinex provides managed access to multiple LLM providers using our API keys. You pay for usage through your Arbinex subscription.

Arbinex does not create AI models. We facilitate access to third-party AI services.

What Arbinex Provides:

Model selection and intelligent routing interface
Response comparison and evaluation tools
Cost tracking and optimization features
Conversation management (optional)

What Arbinex Does NOT Provide:

AI models or AI-generated content (these are generated by third-party LLM providers)
Guarantees about third-party provider availability or performance

3. Account Registration and Security

You are responsible for:

Providing accurate registration information
Maintaining confidentiality of your account credentials
Notifying us immediately of any unauthorized access

Provider credentials: Arbinex holds the accounts with every LLM provider and pays for the inference your subscription covers. You are not asked for, and cannot supply, a provider API key — so no obligation to obtain, secure or rotate one falls to you.

4. User Responsibilities

You agree to:

Comply with all applicable laws and regulations
Comply with your LLM providers' terms of service and usage policies
Use Arbinex only for lawful purposes
Not attempt to circumvent platform security measures
Not use the service to violate third-party rights

Third-Party Terms: Your use of LLM providers (OpenAI, Anthropic, Google, etc.) through Arbinex is subject to those providers' terms of service. You are responsible for ensuring your usage complies with their policies.

5. Acceptable Use Policy

You may NOT use Arbinex for:

5.1 Illegal Activities

Any activity that violates applicable law
Fraud, money laundering, or financial crimes
Circumvention of export controls or sanctions

5.2 Harmful Content

Child sexual abuse material (CSAM). We report to authorities
Content that promotes violence or terrorism
Non-consensual intimate imagery
Harassment, bullying, or threats

5.3 Deceptive Practices

Generating disinformation or fake news
Impersonation without consent
Astroturfing or fake reviews
Phishing or social engineering

5.4 Platform Interference

Attempting to reverse engineer the platform
Launching attacks against Arbinex infrastructure
Scraping or automated access beyond API limits
Circumventing rate limits or access controls

Enforcement: Violation may result in immediate account suspension. We may report illegal activity to law enforcement. No refunds for accounts terminated due to policy violations.

6. Intellectual Property

6.1 Your Content

You retain ownership of your prompts and any content you create. Arbinex does not claim ownership of your inputs or outputs.

6.2 AI-Generated Output

The legal status of AI-generated content is evolving. Under current U.S. Copyright Office guidance, prompts alone may not provide sufficient human control to confer copyright ownership over AI outputs. You are responsible for understanding copyright implications of AI-generated content in your jurisdiction.

6.3 Platform Intellectual Property

Arbinex, including its design, features, code, and documentation, is owned by Arbinex. You receive a limited, non-exclusive license to use the platform during your subscription.

7. Subscription and Billing

7.1 Subscription Tiers

Arbinex offers one managed product, with multiple tiers:

7.2 Token Budgets

The Plus and Max tiers include 2,000,000 (2M) tokens per month. Token counts include both input and output tokens across all supported LLM providers.

Plus: 2M tokens/month hard cap. When the budget is reached, queries are paused until the next billing cycle. Upgrade to Max for continued usage.
Max: 2M tokens/month included. Usage beyond the budget is billed at €24 per 1M tokens (overage). Overage charges are calculated at the end of each billing cycle.

You can monitor your token usage in real time through your account dashboard.

7.3 Free Tier Evaluation Trial

The Free tier provides a 3-day evaluation trial period beginning from account creation. During the trial you receive 150 credits of access to managed LLM providers, where one credit is 1,000 tokens consumed, and no more than 75 of those credits may be used in any rolling 24-hour period. When the 3-day period expires, or the 150 credits are exhausted, whichever comes first, the trial ends and the Free tier continues with a standing allowance of 3 queries per calendar day, reset at midnight UTC. Trial-only capabilities do not continue: after the trial, Free-tier responses are scored heuristically rather than by an evaluating model, and automatic synthesis is not included. You may upgrade to a paid plan for higher limits and for those capabilities.

7.4 Billing Terms

Charged monthly or annually in advance via Stripe
Prices exclude applicable taxes (VAT, sales tax)
Prices are listed and settled in EUR. Customers outside the Eurozone may see a small foreign-exchange fee applied by their card issuer.
Subscriptions automatically renew at the end of each billing period
Max overage charges are billed at the end of each billing cycle

7.5 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We offer a 14-day money-back guarantee for new subscribers. After 14 days, payments are non-refundable. Max overage charges incurred before cancellation remain due.

7.6 Fair Use Policy

Arbinex is designed for individual and team productivity use. We reserve the right to throttle or suspend accounts that engage in excessive automated usage, including but not limited to: programmatic bulk requests, automated scraping of LLM outputs, or any usage pattern that is inconsistent with normal human-directed interaction. If we identify excessive usage, we will notify you and provide a reasonable opportunity to adjust your usage before taking action.

7.7 Price Changes

We may change subscription prices with 30 days' notice. Price changes take effect at your next renewal. You may cancel before renewal if you do not accept new pricing.

8. Disclaimers and Limitation of Liability

8.1 AI Output Disclaimer

AI OUTPUTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. Arbinex does not generate AI outputs; they are generated by third-party LLM providers via Arbinex's provider accounts. We do not warrant that AI outputs will be accurate, complete, reliable, current, or error-free.

You accept that any use of AI outputs is at your sole risk. AI outputs should not be used as a sole source of truth, factual information, or substitute for professional advice.

8.2 Platform Disclaimer

THE ARBINEX PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBINEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

ARBINEX'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.

8.4 Third-Party Provider Liability

Arbinex is not liable for any issues arising from third-party LLM providers, including but not limited to: service outages, rate limiting, API changes, content moderation decisions, or changes to provider pricing.

9. Indemnification

You agree to indemnify and hold harmless Arbinex, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of the service, (b) your violation of these terms, (c) your violation of third-party rights, or (d) your use of AI outputs.

10. Account Termination

10.1 Termination by You

Cancel anytime through account settings
Data deletion completed within 30 days of account closure
Request data export before closure

10.2 Termination by Arbinex

We may terminate your account for:

Violation of Terms of Service or Acceptable Use Policy
Non-payment after reasonable notice
If required by law
If service is discontinued (with reasonable notice)

10.3 Effect of Termination

Loss of access to platform features
Account data deleted per retention policy
Accrued payment obligations remain due

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.

11.2 Informal Resolution

Before filing any legal claim, you agree to contact us at contact@arbinex.ai or through the Contact Us option in your account menu to attempt informal resolution. Most disputes can be resolved without formal proceedings.

12. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement and supersede prior agreements.
Severability: If any provision is invalid, remaining provisions remain in effect.
Waiver: Failure to enforce a provision does not waive future enforcement.
Assignment: You may not assign your account. Arbinex may assign in connection with merger/acquisition.
Force Majeure: Neither party is liable for delays due to events beyond reasonable control.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days in advance. Continued use of Arbinex after changes constitutes acceptance.
